Promotion Terms and Conditions

These Promotions Terms and Conditions (“Promotion Terms”) apply to promotional offers, rewards, bonuses, rebates, enhanced rates, fee discounts, credits, referral benefits, and other incentives offered through UEX.US or its related websites, applications, products, and services (each, a “Promotion”).

By viewing, enrolling in, accepting, or participating in a Promotion, you agree to these Promotion Terms, the offer-specific terms presented with that Promotion, and the applicable UEX.US user agreement and other account terms. If you do not agree, do not enroll in or participate in the Promotion.

1. Offer-specific terms

Each Promotion may have additional terms shown in the offer, promotion page, enrollment screen, account notice, or other materials provided by UEX (“Offer Terms”). Offer Terms may identify:

  • the Promotion period and eligible jurisdictions;
  • eligibility requirements and qualifying actions;
  • the reward type, amount, calculation method, and distribution timing;
  • the assets or account balance subject to a hold;
  • the hold’s start date, end date, and duration;
  • whether rewards, principal, or both are locked;
  • what activity may reduce, forfeit, or delay a reward; and
  • any limits, fees, or other conditions that apply.

You should review the Offer Terms before enrolling. The Offer Terms form part of these Promotion Terms. If an Offer Term conflicts with these Promotion Terms, the Offer Term controls only for that specific Promotion and only to the extent of the conflict.

2. Enrollment and acceptance of a lock

A Promotion is optional. Before enrolling, you are responsible for reviewing the applicable Offer Terms and deciding whether the Promotion is appropriate for you.

If a Promotion includes a lock or holding period, you must affirmatively accept the Promotion and its stated lock terms through the enrollment method provided by UEX. By doing so, you acknowledge and agree that the assets identified in the Offer Terms will be subject to the stated restrictions for the full lock period.

The lock becomes effective when UEX records your successful enrollment or when the Offer Terms otherwise specify that it begins. UEX’s account records will be used to determine the enrollment time and applicable lock period, except where those records contain a manifest error.

3. Binding lock period; no voluntary cancellation or early release

Once you have enrolled in a Promotion with a lock period, your enrollment is binding for the full stated period. You may not cancel, reverse, withdraw from, or opt out of the Promotion to obtain early access to locked assets. UEX will not release locked assets early at your request, and a request to cancel or reverse the Promotion will not shorten or otherwise change the lock period.

This restriction applies to the assets expressly identified as locked in the Offer Terms. It does not, by itself, extend to other assets in your account that are not subject to that Promotion’s lock.

At the end of the lock period, the promotion-specific restriction will expire, and the applicable locked assets will become eligible for release in accordance with Section 7, subject to applicable law and any separate account restriction that is permitted under your account terms or applicable law.

4. Which assets are locked

The Offer Terms will state which assets are subject to a Promotion’s lock. Depending on the Promotion, these may include:

  • the qualifying deposit or other principal amount;
  • the promotional reward or bonus;
  • proceeds or replacement assets resulting from converting a locked asset;
  • an amount calculated by reference to the reward’s quantity or value; or
  • another specifically identified balance or asset amount.

Unless the Offer Terms clearly state otherwise, a Promotion lock applies only to the amount and asset types identified in those terms. A display of a locked balance in your account does not, by itself, change the legal ownership of an asset.

Where the Offer Terms describe a hold amount that changes with the market value of a reward, those terms will explain how the hold is calculated and which balance may be restricted to satisfy it.

5. Effect of the lock

During the lock period, you may be unable to withdraw, transfer, redeem, convert, trade, or otherwise use some or all of the locked assets. The particular restrictions depend on the Offer Terms and the features available for the relevant asset.

You must not attempt to evade a lock through transfers between accounts, conversions, related accounts, third-party arrangements, or other activity intended to obtain access to locked assets before the end of the lock period. Such activity may affect your eligibility for the Promotion or reward, to the extent permitted by applicable law and the Offer Terms.

6. Early withdrawal requests and reward consequences

A withdrawal or other transaction that would reduce a qualifying balance or interfere with a Promotion may result in one or more consequences specified in the Offer Terms, including:

  • a reward being reduced, denied, or forfeited;
  • an unpaid reward not being issued;
  • a previously issued reward being reclaimed or offset, where permitted by law and the applicable account terms; or
  • the transaction being unavailable until the applicable lock period ends.

A withdrawal request does not create a right to cancel a lock or receive the locked assets early. UEX will apply the consequences disclosed in the Offer Terms and will not impose a promotion-related forfeiture that is inconsistent with those terms or applicable law.

7. Expiration and release of locked assets

The lock period begins and ends at the date and time specified in the Offer Terms. If the Offer Terms state only a duration, the period will be calculated from the enrollment or other start event identified in those terms, using the stated time zone.

After the lock period expires, UEX will remove the promotion-specific restriction and make the applicable assets eligible for withdrawal or other use, subject to the ordinary processing time stated in the Offer Terms or otherwise disclosed by UEX. Any such processing time will be applied consistently and will not extend the promotion lock itself.

Release may remain subject to a separate restriction that is independently applicable under the UEX.US user agreement or applicable law, such as a pending deposit settlement, account security review, identity-verification requirement, sanctions restriction, court order, or other legal or regulatory requirement. If UEX applies a separate restriction, it will be handled under the terms and procedures that govern that restriction, rather than as an extension of the Promotion’s lock.

8. Reward delivery and valuation

Unless the Offer Terms provide otherwise, rewards are credited only after UEX verifies that you satisfied all eligibility and qualifying requirements. The Offer Terms will specify the expected distribution timing, reward asset, and any applicable calculation method.

Digital asset rewards may change in value after they are credited. UEX does not guarantee the future market value, liquidity, or availability of a reward asset. Any estimate, displayed rate, or illustrative reward amount is subject to the assumptions and qualifications stated in the Offer Terms.

9. Eligibility and verification

Promotions may be limited by location, account type, customer status, age, identity-verification status, or other criteria described in the Offer Terms. You are responsible for confirming that you are eligible in your jurisdiction before participating.

UEX may require information or verification reasonably necessary to confirm eligibility, complete a qualifying action, prevent fraud, or comply with legal and regulatory obligations. If you do not provide required information, UEX may be unable to confirm your eligibility or distribute a reward.

10. Prohibited conduct and misuse

You may not participate in a Promotion using false, misleading, incomplete, or unauthorized information, or engage in conduct intended to manipulate eligibility, reward calculations, account balances, trading activity, referrals, or other Promotion requirements.

Prohibited conduct may include, where applicable, creating or using multiple accounts to obtain duplicate benefits, coordinated or wash trading, self-referrals, use of another person’s identity or payment method without authorization, exploiting technical errors, or circumventing geographic or account restrictions.

If UEX reasonably determines that a Promotion was obtained or used through fraud, abuse, manipulation, or a material violation of its terms, UEX may take action allowed by the Offer Terms, the UEX.US user agreement, and applicable law. Any reward denial, adjustment, or recovery will be limited to the extent permitted by those terms and applicable law.

11. Promotion changes and closure

UEX may close, suspend, or change a Promotion for future participation, including where required by law, a regulator, a third-party provider, security concerns, technical issues, or operational reasons.

Unless applicable law requires otherwise, a change to a Promotion will not retroactively alter the lock duration or other material terms already accepted by a participant. If UEX must make a change that affects an enrolled participant, UEX will provide any notice or treatment required by applicable law and the Offer Terms.

UEX may correct typographical, technical, or calculation errors. If an error materially affects an enrolled participant, UEX will address it in accordance with applicable law and the governing account terms.

12. Taxes and fees

You are responsible for determining and satisfying any tax reporting or payment obligations arising from your participation in a Promotion or receipt of a reward. UEX does not provide tax advice.

Network fees, transaction fees, conversion spreads, or other charges may apply to transactions involving promotional or locked assets as described in the applicable fee schedule or Offer Terms.

13. Risks

Digital assets can be volatile and may lose value. A lock may prevent you from accessing or transferring an asset during the stated period, including during periods of market volatility or network disruption. You should consider whether you can keep the applicable assets unavailable for the entire lock period before enrolling.

A Promotion is not a recommendation or guarantee of profit. Unless expressly stated in the Offer Terms, a reward or promotional rate is not guaranteed to continue beyond the stated Promotion period.

14. Relationship to other UEX.US terms

These Promotion Terms supplement the UEX.US user agreement, privacy notice, risk disclosures, fee schedule, and other terms applicable to your account and use of UEX services. Those documents continue to apply during and after a Promotion.

Nothing in these Promotion Terms waives a right or remedy that cannot legally be waived, limits any obligation imposed by applicable law, or authorizes UEX to disregard a binding court or regulatory order.

Please identify the Promotion and provide relevant account or transaction details through a secure channel. Do not send passwords, authentication codes, or private keys.

Any dispute relating to a Promotion will be handled under the dispute-resolution, governing-law, and notice provisions of the applicable UEX.US user agreement, except where applicable law requires a different procedure.

16. Severability

If any provision of these Promotion Terms is found unenforceable, that provision will be modified only to the extent necessary to make it enforceable, if permitted by law. The remaining provisions will continue in effect.
