UEX.US Inc., a Wyoming corporation formerly known as UEX Capital Corp ("UEX," "we," "our"), operates uex.us and uexpayments.com, together with associated subdomains, applications, interfaces, and APIs (collectively, the "Sites"), through which it provides cryptocurrency and fiat-related services (the "Services"). This Legal Disclaimer forms part of, and must be read together with, the UEX Terms of Service (Version 2.0, effective August 1, 2026) (the "Terms"). Capitalized terms not defined here have the meanings given in the Terms. In the event of any conflict between this Disclaimer and the Terms, the Terms control.

By accessing or using the Sites or Services, you acknowledge and agree to this Disclaimer. If you do not agree, do not use the Services.

1. No Financial, Investment, Tax, or Legal Advice

All information provided through the Sites or in any communication from UEX is general information only and does not constitute financial, investment, tax, accounting, legal, or other professional advice. UEX is not a bank, trust company, broker-dealer, investment adviser, or fiduciary, and nothing on the Sites is a recommendation to enter into any transaction. Consult your own qualified advisors before making any financial, investment, or legal decision.

2. Risk Disclosure

Transactions in Digital Assets carry significant financial risk, including the risk of losing the entire value of your assets. Digital Asset prices are highly volatile, markets may be illiquid, and past performance is not indicative of future results. Blockchain transactions are irreversible: assets sent to an incorrect address, on an incorrect network, or without a required memo or tag may be permanently lost. Withdrawals are not instantaneous and may take up to seven (7) business days to be released, and longer in the circumstances described in Section 9.9 of the Terms; the value of your assets may move materially during that period. You assume all risks associated with your use of the Services, as further described in Section 16 of the Terms.

3. Custody of Assets

UEX provides hosted digital asset wallet and custodial services as described in Section 8 of the Terms. Digital Assets held in your Account remain your property; UEX does not lend, pledge, or rehypothecate custodied customer Digital Assets except where you expressly opt in to a specific product on separate terms. Fiat funds associated with your Account are held with licensed third-party custodians, banking partners, or payment processors. Fiat balances are not bank deposits and are not insured by the FDIC or any other government deposit insurance scheme, and UEX does not pay interest on Fiat balances.

4. Insurance

UEX maintains, directly and through its private insurance and custody partners, commercial insurance policies covering the theft of custodied customer Digital Assets, including losses arising from hacking or security compromise of UEX-controlled systems, together with additional private insurance policies maintained at the corporate level. All coverage is subject to the terms, limits, deductibles, and exclusions of the applicable policies as described in Section 8.3 of the Terms, and does not extend to losses caused by your own acts or omissions (including compromise of your credentials or devices), market movements, or the failure of third-party networks or services. No government-backed scheme insures Fiat or Digital Assets held through the Services.

5. Regulatory Status

UEX is registered with the U.S. Department of the Treasury's Financial Crimes Enforcement Network (FinCEN) as a Money Services Business (MSB). FinCEN registration is not a license and does not constitute endorsement, approval, or assessment of UEX by any federal or state authority. UEX operates on an allowlist basis: the Services are available only in the jurisdictions expressly listed as permitted on the Supported Jurisdictions Page, as described in Section 3 of the Terms. The Sites do not constitute an offer or solicitation in any jurisdiction where such an offer would be unlawful or where UEX is not authorized to provide the Services. You are solely responsible for determining whether your use of the Services is lawful in your jurisdiction and for complying with all applicable laws, regulations, and tax obligations.

6. Compliance

UEX maintains an anti-money-laundering and counter-terrorist-financing program and screens deposits, withdrawals, and counterparties using blockchain analytics and sanctions screening. Deposits linked to anonymity-enhancing technologies, privacy-enhanced assets, or confidential transaction layers (including Litecoin's MWEB) are prohibited and will trigger holds and enhanced due diligence under Sections 12 and 16.6.1 of the Terms, and assets whose provenance cannot be verified may never be released. Do not deposit them.

7. No Guarantee of Access or Performance

The Services are provided on an "as is" and "as available" basis. UEX makes no guarantee regarding availability, uptime, security, or uninterrupted access, and may add, modify, suspend, restrict, or discontinue any Service, Digital Asset, or feature at any time as described in Section 5.5 of the Terms.

8. Third-Party Services

The Services rely on and may provide access to third-party services, including banking partners, payment processors, custodians, liquidity providers, and blockchain networks. UEX does not control and is not responsible for third-party services, and your use of them is at your own risk and subject to their separate terms and privacy policies.

9. Limitation of Liability

To the maximum extent permitted by law, UEX, its affiliates, and their respective directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your access to or use of the Sites or Services. UEX's liability is limited as set out in Section 24 of the Terms.

10. Amendments

UEX may amend this Disclaimer at any time. Amendments are effective upon posting to the Sites, and continued use of the Services constitutes acceptance of the amended Disclaimer.
